1. Introduction and Acceptance
PrintMailBids.com (hereinafter referred to as "the Platform," "we," "us," or "our") operates an online marketplace and auction platform specializing in print, mail, and related industrial equipment. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding contract between you and PrintMailBids.com. The parties acknowledge and agree to the following:
- PrintMailBids.com provides electronic auction and marketplace services through its website located at https://www.PrintMailBids.com and all associated subdomains (collectively, the "Website"). These services enable registered sellers to list equipment and goods for sale through auction-style or fixed-price formats to registered users of the Platform.
- Sellers may create auction events and submit individual items ("Lots") for sale by providing descriptions, photographs, specifications, and sale terms. PrintMailBids.com facilitates the display of these Lots and enables Users to submit electronic bids. Upon conclusion of an auction or sale, the winning bidder and Seller are expected to consummate the transaction directly.
- PrintMailBids.com serves solely as an intermediary platform facilitating connections between buyers and sellers. We do not take ownership of, title to, or possession of any items listed on the Platform. We do not act as an agent, broker, or representative for any party. All contractual relationships for the purchase and sale of goods exist exclusively between the Seller and the winning bidder.
- As an Internet-based service, PrintMailBids.com is subject to periodic maintenance, technical difficulties, system outages, and circumstances beyond our reasonable control. We do not guarantee uninterrupted availability of our services, nor do we guarantee that any transaction will be completed, that any bidder will fulfill payment obligations, or that any seller will deliver goods as described.
2. Definitions
For purposes of this Agreement, the following definitions shall apply:
- "PrintMailBids.com" or "Platform" means PrintMailBids.com, a business entity organized under the laws of the State of Florida, operating the Website and providing the services described herein.
- "Website" means all web pages, content, features, and functionality accessible at the domain https://www.PrintMailBids.com and any subdomains thereof.
- "User," "Member," or "Bidder" means any individual or entity that creates a registered account on the Platform, whether for the purpose of bidding, purchasing, or browsing.
- "Seller" means any individual or entity that lists items for sale on the Platform through a registered seller account.
- "Auction" means any sales event posted on the Platform that permits Users to participate in competitive bidding, whether conducted as a timed auction, live auction, or webcast event.
- "Lot" means any individual item or group of items offered for sale within an Auction or as a fixed-price listing.
- "Buyer Premium" means any additional fee or percentage charged to the winning bidder on top of the final bid price, as specified by the Seller or PrintMailBids.com.
- "Electronic Transaction" means any binding agreement formed through electronic means on the Platform, including the placement of bids and acceptance of offers.
3. Services Provided
PrintMailBids.com provides an online marketplace connecting independent Sellers with prospective Buyers for the purpose of facilitating commercial transactions involving print, mail, packaging, bindery, and related industrial equipment. Our services include:
- A virtual interface designed to simulate auction-style sales environments and enable participation in live or timed auctions via the Internet.
- Display and organization of Lot descriptions, photographs, and specifications as submitted by Sellers. PrintMailBids.com republishes this information but does not independently verify its accuracy, completeness, or reliability.
- Bid tracking, notification services, and communication tools to facilitate transactions between parties.
- Optional dispute resolution assistance, provided at our sole discretion.
IMPORTANT: PrintMailBids.com does not sell, broker, consign, or take title to any property advertised on the Website. Users place bids and make purchases entirely at their own risk and are strongly encouraged to inspect all Lots prior to bidding. We make no representations regarding the condition, merchantability, fitness for a particular purpose, or legal status of any item listed on the Platform.
4. Account Registration and Eligibility
- Age Requirement: You must be at least eighteen (18) years of age to register for an account or use the services of PrintMailBids.com. By creating an account, you represent and warrant that you meet this age requirement.
- Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.
- Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify PrintMailBids.com immediately of any unauthorized use of your account.
- Business Accounts: If registering on behalf of a business entity, you represent that you have the authority to bind such entity to these Terms.
- Account Verification: PrintMailBids.com reserves the right to verify the identity and credentials of any User and to require additional documentation before approving an account or permitting participation in certain auctions.
5. User Conduct and Prohibited Activities
Users of the Platform agree to comply with all applicable laws and regulations and to refrain from engaging in any of the following prohibited activities:
- Using the Platform for any fraudulent, deceptive, misleading, or unlawful purpose.
- Posting, transmitting, or disseminating any content that is obscene, threatening, harassing, defamatory, discriminatory, or that promotes illegal activity.
- Engaging in or facilitating any transaction that violates local, state, federal, or international law.
- Copying, reproducing, republishing, or redistributing any content from the Website without express written permission.
- Using, appropriating, or infringing upon any trademarks, service marks, logos, or proprietary content displayed on the Platform.
- Attempting to access, modify, copy, reverse engineer, decompile, or disassemble any software, source code, or systems used to operate the Website.
- Using any automated systems, bots, scripts, scrapers, or similar technology to access or interact with the Platform.
- Interfering with, disrupting, or attempting to compromise the security, integrity, or performance of the Website or its underlying infrastructure.
- Sharing account login credentials with any third party or permitting unauthorized access to your account.
- Making false, misleading, or fraudulent representations to Sellers, Buyers, or PrintMailBids.com.
- Placing bids without a genuine intention to complete the purchase or enter into a binding contract with the Seller.
- Retracting or withdrawing bids except as expressly permitted by these Terms or applicable law.
- Failing to complete a transaction after winning an auction or having an offer accepted.
- Engaging in bid rigging, shill bidding, bid manipulation, or any form of collusion that undermines the integrity of the auction process.
- Circumventing or attempting to circumvent Platform fees, buyer premiums, or other charges.
- Any other conduct that PrintMailBids.com, in its sole discretion, determines to be harmful to the Platform, its Users, or the integrity of the marketplace.
6. Auctions and Bidding
- Reserve Auctions: Unless explicitly stated otherwise in the auction or lot description, all auctions conducted on the Platform are reserve auctions. The Seller and/or PrintMailBids.com expressly reserve the right to reject bids that do not meet the reserve price and to place competing bids on the Platform.
- Auction Timing: PrintMailBids.com reserves the right to modify, extend, or shorten the closing time of any auction at our sole discretion, including but not limited to implementing soft-close or anti-sniping features.
- Lot Modifications: PrintMailBids.com and Sellers reserve the right to add, remove, combine, or modify Lots at any time prior to the conclusion of an auction.
- Binding Bids: Placing a bid on the Platform constitutes a binding offer to purchase the Lot for the amount of the bid, subject to the Seller's terms. Bids cannot be retracted except in cases of clear typographical error and only at the sole discretion of PrintMailBids.com.
- Content License: By uploading any content to the Platform, including but not limited to photographs, descriptions, specifications, and other materials, you grant PrintMailBids.com a perpetual, irrevocable, royalty-free, non-exclusive, worldwide license to use, reproduce, modify, display, distribute, and create derivative works from such content for any purpose related to the operation and promotion of the Platform.
- Governing Terms: These Terms and Conditions govern all auctions held on the Platform and are incorporated by reference into the terms of each individual auction.
7. Buyer Premium and Fees
As a condition of sale, Sellers may require winning bidders to pay a Buyer Premium in addition to the final hammer price. The Buyer Premium, if applicable, will be clearly disclosed in the auction or lot description. Users acknowledge and agree that:
- The Buyer Premium is an integral part of the purchase price and is due and payable along with the winning bid amount.
- PrintMailBids.com may charge service fees, listing fees, or transaction fees to Sellers, which may be passed on to Buyers at the Seller's discretion.
- All applicable taxes, shipping costs, rigging, loading, and transportation expenses are the sole responsibility of the Buyer unless otherwise specified.
- Fee schedules are subject to change. Current fees will be posted on the Website and apply to all transactions conducted after the effective date of any changes.
8. Electronic Transactions and Contract Formation
- Binding Agreement: You acknowledge and agree that placing a bid on the Platform constitutes an electronic offer to purchase the Lot for the amount of your bid. When you are declared the winning bidder, a binding contract is formed between you and the Seller for the purchase of the Lot, subject to the Seller's stated terms and conditions.
- Seller Terms: Users agree to comply with all terms provided by the Seller in the auction or lot description, including but not limited to payment methods, pickup requirements, shipping arrangements, and return policies. All such terms shall be considered material terms of the transaction.
- Electronic Signatures: You agree that your electronic acceptance of these Terms and your electronic bids constitute valid electronic signatures with the same legal force and effect as manual signatures.
- Governing Law for Transactions: The Uniform Electronic Transactions Act and applicable state implementations thereof shall govern all electronic transactions occurring on this Platform.
9. Payment Terms
Both Users and Sellers bear equal responsibility for arranging and completing payment and shipping logistics. The following payment terms apply:
- Payment deadlines and acceptable payment methods are at the sole discretion of the Seller. Users must refer to the invoice provided by the Seller or communicate directly with the Seller to determine payment requirements.
- In the event a User becomes unreachable, fails to respond to communications, or fails to meet the payment deadline established by the Seller, the transaction may be deemed forfeited and the User may be recorded as a non-paying bidder.
- Repeated instances of non-payment, failure to complete transactions, or other violations may result in account review, suspension, or permanent termination at the sole and absolute discretion of PrintMailBids.com.
- PrintMailBids.com reserves the right to share information about non-paying bidders with Sellers and to maintain internal records of user conduct.
10. Dispute Resolution
In the event of a dispute arising from any transaction on the Platform, the following procedures shall apply:
- Good Faith Resolution: Users agree to first attempt to resolve any dispute directly with the other party in good faith. If the Seller has established a dispute resolution process, Users agree to follow that process before seeking other remedies.
- Platform Assistance: Users may request PrintMailBids.com's assistance in resolving a dispute by contacting disputes@printmailbids.com. Such request must be made within thirty (30) calendar days of the disputed transaction or the date the dispute arose, whichever is earlier.
- Discretionary Assistance: PrintMailBids.com may, at its sole discretion, agree to assist in dispute resolution or decline to do so. If we agree to assist, all parties must participate in the resolution process in good faith.
- No Liability: PrintMailBids.com's decision to assist or not assist in dispute resolution, and any outcome of such assistance, shall not create any liability on the part of PrintMailBids.com to any party.
11. Intellectual Property Rights
All intellectual property rights relating to the Platform are owned by or licensed to PrintMailBids.com:
- Copyright: PrintMailBids.com owns or holds valid licenses to all content, design elements, software, graphics, text, and other materials on the Website. All rights are reserved. No portion of the Website may be copied, reproduced, republished, or redistributed without express written permission.
- Trademarks: The "PrintMailBids.com" name, logo, and all related marks are trademarks or service marks of PrintMailBids.com. Unauthorized use of these marks is strictly prohibited.
- Third-Party Content: Users acknowledge that Section 230 of the Communications Decency Act of 1996 provides immunity to PrintMailBids.com as an interactive computer service provider with respect to content provided by third-party information content providers, including Sellers.
- DMCA Compliance: PrintMailBids.com respects intellectual property rights and will respond to valid notices of copyright infringement in accordance with the Digital Millennium Copyright Act. To report infringement, contact legal@printmailbids.com.
12. Privacy and Data Protection
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy. You acknowledge that Internet-based data transmission is not completely secure, and you agree to assume the risks associated with electronic communication and data storage.
13. Disclaimer of Warranties
THE SERVICES PROVIDED ON THIS PLATFORM ARE PROVIDED ON AN "AS-IS" AND "WHERE-IS" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
PRINTMAILBIDS.COM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
- Any warranty that the Platform will meet your requirements or be available on an uninterrupted, timely, secure, or error-free basis.
- Any warranty regarding the accuracy, reliability, completeness, or timeliness of any Lot descriptions, photographs, specifications, or other content posted by Sellers.
- Any warranty that any Lot will be sold, that any bidder will pay, or that any Seller will perform as promised.
- Any warranty that the Platform is free from viruses, malware, or other harmful components.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- PRINTMAILBIDS.COM, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
- IN NO EVENT SHALL PRINTMAILBIDS.COM'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO PRINTMAILBIDS.COM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
- THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF PRINTMAILBIDS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Indemnification
You agree to indemnify, defend, and hold harmless PrintMailBids.com, its owners, officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any content you submit to the Platform; or (e) your transactions with other Users. PrintMailBids.com reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with PrintMailBids.com in asserting any available defenses.
16. Termination and Suspension
PrintMailBids.com reserves the right, at its sole and absolute discretion and without prior notice, to:
- Suspend or terminate your account and access to all or any part of the Platform.
- Cancel, suspend, or discontinue any individual auction or listing.
- Discontinue providing auction services, either temporarily or permanently.
- Revoke or void any bids placed on the Platform.
- Remove or refuse to post any content submitted by Users.
- Take any other action we deem necessary to protect the Platform or its Users.
17. Remedies
If you are dissatisfied with the Platform, any of its services, or these Terms, your sole and exclusive remedy is to discontinue using the Platform and any services provided by PrintMailBids.com. You agree that no claims may be brought as a class action, class arbitration, or any other representative proceeding.
18. Governing Law and Jurisdiction
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Leon County, Florida, for all disputes arising out of or relating to these Terms or your use of the Platform. You hereby waive any defenses of lack of personal jurisdiction, improper venue, or forum non conveniens. Process may be served on either party in the manner authorized by applicable law or court rule. The prevailing party in any legal proceeding relating to these Terms shall be entitled to recover reasonable attorneys' fees and costs.
19. Modification of Terms
PrintMailBids.com reserves the right to modify these Terms at any time by posting updated Terms on the Website. Your continued use of the Platform after any such modifications constitutes your acceptance of the revised Terms. You are responsible for regularly reviewing these Terms. The most current version of the Terms will supersede all previous versions and shall govern your relationship with PrintMailBids.com.
20. No Waiver
The failure of PrintMailBids.com to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by PrintMailBids.com.
21. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
22. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies posted on the Website, constitute the entire agreement between you and PrintMailBids.com regarding your use of the Platform, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
23. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of PrintMailBids.com. PrintMailBids.com may freely assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties' respective successors and permitted assigns.
24. Force Majeure
PrintMailBids.com shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labor disputes, Internet or telecommunications failures, power outages, computer viruses, or cyberattacks.

All notices required or permitted under these Terms shall be delivered as follows:
- To Users: PrintMailBids.com will send notices to the email address associated with your registered account. You are responsible for keeping your email address current.
- To PrintMailBids.com: Users should send notices to legal@printmailbids.com or by mail to the address posted on the Website.
- Effective Date: Notices shall be deemed received no later than 5:00 PM Eastern Time on the business day following the date the email was sent.
